Parties & Scope of Application
1.1 Service Provider
Leviq ("we", "us", "our", "the Company", "the Platform") operates the e-learning platform accessible at leviq.com and related subdomains. Leviq is an AI-powered e-learning marketplace that connects learners with instructors.
1.2 Users
These Terms apply to all individuals who access or use the Platform in any capacity, including:
- Learners — individuals who register to enrol in and consume courses;
- Instructors — individuals or legal entities who register to create and publish courses;
- Visitors — individuals who access the Platform without registering.
1.3 Acceptance
By creating an account, enrolling in a course, uploading content, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein.
1.4 Business Users
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In such case, "you" and "your" refer to that entity.

Account Registration & Security
3.1 Eligibility
You must be at least 18 years of age to create an account. If you are between 16 and 18, you may use the Platform only with verifiable parental or guardian consent, in accordance with Article 8 of the GDPR. The Platform is not directed at children under 16.
3.2 Registration Data
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false or misleading information is a material breach of these Terms.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You must:
- Use a strong, unique password;
- Notify us immediately at [email protected] of any unauthorised access or security breach;
- Not share your account credentials with third parties;
- Not create more than one personal account.
3.4 Instructor Accounts
Instructor accounts are subject to additional verification. We reserve the right to request identity documentation, professional credentials, or other evidence of expertise before approving course publication.
Platform Services
4.1 Nature of Services
Leviq operates as an online marketplace and hosting platform. We provide the technical infrastructure and tools for Instructors to create and publish courses, and for Learners to discover and enrol in those courses. The Platform also offers proprietary AI-powered features as described in Article 7.
4.2 Course Quality
All courses submitted for publication are assessed by our AI Quality Verification System, which analyses video quality, content depth, teaching clarity, and alignment with stated learning objectives. Courses meeting quality thresholds are awarded "AI Verified" status. This assessment is advisory and does not constitute a guarantee of educational outcome or professional certification.
4.3 Service Availability
We aim to maintain 99.5% Platform availability. Scheduled maintenance will be announced with reasonable prior notice. We are not liable for temporary unavailability resulting from circumstances beyond our reasonable control, including force majeure events, third-party infrastructure failures, or cyberattacks.
4.4 Platform Modifications
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice where technically feasible. Material changes that adversely affect existing paid enrolments will be communicated at least 30 days in advance.
Learner Rights & Obligations
5.1 Licence to Course Content
Upon successful enrolment, you receive a personal, non-transferable, non-exclusive, revocable licence to access and view the course content for personal, non-commercial educational purposes only. This licence does not transfer any ownership or intellectual property rights.
5.2 Access Period
Unless otherwise stated in the course description, enrolment grants lifetime access to the course content as long as the course remains on the Platform and your account remains in good standing.
5.3 Learner Obligations
As a Learner you agree to:
- Use course materials solely for personal, non-commercial learning;
- Not reproduce, distribute, publicly display, or create derivative works from course content;
- Not record, screenshot, or capture video content by any means;
- Not circumvent technical protection measures including watermarking systems;
- Not share enrolled course access with other individuals;
- Engage respectfully with Instructors and other Platform users.
5.4 Knowledge Check Participation
The Platform may offer AI-powered Knowledge Check assessments upon completion of video lessons. Participation is voluntary but encouraged. Results are used solely to personalise the learning experience and are not shared with third parties without your consent.
Instructor Rights & Obligations
6.1 Content Submission
By submitting course content to the Platform, Instructors grant Leviq a worldwide, royalty-free, non-exclusive licence to host, reproduce, adapt for streaming optimisation, distribute, and display the content for the purpose of operating and promoting the Platform.
6.2 Content Accuracy
Instructors warrant that all submitted content:
- Is accurate, complete, and not misleading;
- Does not infringe any third-party intellectual property rights;
- Complies with applicable laws including consumer protection, advertising standards, and professional regulation laws;
- Does not contain malware, spam, or unauthorised commercial communications;
- Reflects the Instructor's genuine expertise and credentials as stated.
6.3 AI Quality Review
Instructors acknowledge that submitted videos are processed through Leviq's AI Quality Verification System, including automated transcription using OpenAI's Whisper technology. By submitting content, Instructors consent to this processing for the purposes of quality assessment, transcript generation, and learner assessment features.
6.4 Revenue & Payments
Instructor revenue sharing terms, applicable commission rates, and payment schedules are set out in the Instructor Revenue Agreement, which forms part of these Terms upon the Instructor's acceptance. Revenue payments are subject to applicable tax withholding obligations.
6.5 Course Removal
Instructors may request removal of their courses subject to respecting existing learner enrolments. Leviq may remove courses that violate these Terms, fail quality standards, or are the subject of valid intellectual property complaints.
AI-Powered Features
7.1 AI Quality Verification
Leviq uses AI models to assess the quality of uploaded course videos. This system analyses video technical quality, audio clarity, teaching explanation quality, content depth, and alignment between video content and course descriptions. AI quality scores influence whether a course receives "AI Verified" status and publication approval.
7.2 Automated Transcription
Uploaded videos are automatically transcribed using OpenAI's Whisper transcription service. Transcripts are used for quality assessment, accessibility purposes, and as the basis for generating learner assessment questions. Instructors may not opt out of transcription as it is integral to the AI quality verification system.
7.3 Knowledge Check Quiz System
After completing a video lesson, Learners are offered an AI-generated Knowledge Check comprising short-answer questions derived from the video transcript. Learner answers are evaluated by AI to assess comprehension. Where the AI determines insufficient understanding, it provides personalised explanatory content. This constitutes automated decision-making within the meaning of Article 22 GDPR; however, such automated assessment does not produce legal or similarly significant effects — it is an educational tool only.
7.4 AI Limitations & Human Oversight
AI-generated content, assessments, and evaluations may contain errors or inaccuracies. They do not substitute for professional advice, formal qualification, or human expert review. Leviq maintains human oversight mechanisms and provides a feedback mechanism for disputing AI-generated quality decisions.
7.5 Third-Party AI Services
AI features are powered in part by OpenAI's APIs. Processing of content through OpenAI's systems is governed by OpenAI's usage policies. Content submitted to the Platform is processed in accordance with our Privacy Policy and applicable data processing agreements.
Pricing, Payment & Taxes
8.1 Prices
All prices displayed on the Platform are in Euros (EUR) and include applicable Value Added Tax (VAT) where required by EU law. The applicable VAT rate is determined based on the Learner's country of residence in accordance with EU VAT Directive 2006/112/EC.
8.2 Payment Processing
Payments are processed by Stripe, Inc., a PCI DSS-compliant payment service provider. Leviq does not store complete payment card information. By completing a purchase, you agree to Stripe's Terms of Service and Privacy Policy in addition to these Terms.
8.3 Free Courses
Some courses are offered free of charge. Enrolment in free courses does not create a consumer contract for the purposes of the EU Consumer Rights Directive; however, all other provisions of these Terms continue to apply.
8.4 Promotional Pricing
Promotional prices and discount codes are subject to specific terms stated at the time of the promotion. Promotional codes cannot be combined unless expressly stated and are subject to one use per account unless otherwise indicated.
Right of Withdrawal & Refund Policy
9.1 Statutory Right of Withdrawal
As a Consumer residing in the European Union or European Economic Area, you have the right to withdraw from a paid enrolment contract within 14 calendar days of the date of enrolment (the "Withdrawal Period"), without giving any reason.
9.2 Loss of Withdrawal Right
In accordance with Article 16(m) of Directive 2011/83/EU, you explicitly acknowledge and consent that performance of the digital content contract (access to course videos) begins immediately upon enrolment. You expressly acknowledge that once you have started watching any lesson video, your right of withdrawal is forfeited for that course, as the digital content has been fully or substantially provided.
A clear acknowledgement of this waiver is required at the point of purchase.
9.3 Exercising Withdrawal (Unwatched Courses)
To exercise your right of withdrawal for a course you have not yet accessed:
- Submit a withdrawal request to [email protected] within the 14-day Withdrawal Period;
- Include your order reference number, the course name, and your account email address;
- You may use the EU Model Withdrawal Form (Annex I of Directive 2011/83/EU).
9.4 Refund Processing
Upon receipt of a valid withdrawal request, we will reimburse all payments received within 14 days using the same payment method used for the original purchase, unless you expressly agree otherwise. No fee is charged for this reimbursement.
9.5 Technical Defects
Regardless of the above, if course content fails to function as described due to a technical defect attributable to Leviq, you are entitled to request repair, replacement, or a proportionate reduction of the price or a full refund, in accordance with Articles 14–16 of EU Directive 2019/770 on digital content contracts.
Intellectual Property Rights
10.1 Platform IP
The Leviq name, logo, brand identity, platform design, proprietary AI systems, software, and all other original elements of the Platform are the exclusive property of Leviq or its licensors and are protected under applicable EU and international intellectual property law. Nothing in these Terms grants you any right in the Platform's intellectual property beyond the limited licence described herein.
10.2 Instructor Content
Instructors retain full ownership of the original content they create and submit to the Platform, subject to the licence granted in Article 6.1. Instructors represent and warrant that they are the sole author or have obtained all necessary rights and licences for any third-party material included in their content.
10.3 DMCA & EU Copyright Compliance
Leviq complies with the EU Copyright Directive (2019/790/EU) and, for international users, the US Digital Millennium Copyright Act (17 U.S.C. § 512). Notifications of alleged copyright infringement must be submitted to [email protected] and must include all information required by the applicable statute. Repeat infringers will have their accounts terminated.
10.4 Feedback
Any feedback, suggestions, or ideas you voluntarily provide regarding the Platform may be used by Leviq without restriction, obligation, or compensation to you.
Prohibited Conduct
You agree not to engage in any of the following, which constitute material breaches of these Terms:
- Violating any applicable law, regulation, or third-party rights;
- Impersonating any person, organisation, or entity;
- Circumventing, disabling, or interfering with security features of the Platform, including digital rights management or watermarking systems;
- Using automated means (bots, scrapers, crawlers) to access the Platform without prior written consent;
- Attempting to gain unauthorised access to any account, system, or data;
- Uploading or transmitting viruses, malware, or any other malicious code;
- Using the Platform for money laundering, fraud, or any other illegal financial activity;
- Engaging in harassment, hate speech, or abusive conduct toward other users;
- Commercially exploiting course content, including reselling, sublicensing, or creating derivative products for distribution;
- Providing false reviews, ratings, or testimonials;
- Attempting to circumvent the Platform's payment systems.
We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities. Violations may result in immediate account suspension and, where applicable, civil or criminal liability.
Content Standards
All content submitted by Instructors and communications by any user must comply with these standards. Content must not:
- Be factually inaccurate, misleading, or deceptive;
- Infringe any intellectual property rights;
- Contain or promote illegal activity;
- Be defamatory, obscene, pornographic, or promote violence;
- Contain unsolicited commercial communications or spam;
- Discriminate against individuals based on protected characteristics;
- Violate any individual's privacy or data protection rights;
- Promote disinformation or pseudoscience in a deceptive manner.
Leviq reserves the right — but not the obligation — to review, moderate, or remove content that violates these standards.
Disclaimers & Limitation of Liability
13.1 Disclaimer of Warranties
The Platform and all services are provided "as is" and "as available". To the maximum extent permitted by applicable EU law, Leviq disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that course content will achieve any specific educational, professional, or career outcome.
13.2 Limitation of Liability
To the maximum extent permitted by applicable law, Leviq's total cumulative liability arising out of or related to these Terms or your use of the Platform shall not exceed the greater of: (a) the total amount paid by you in the 12 months preceding the claim; or (b) EUR 100.
13.3 Excluded Losses
Leviq shall not be liable for: loss of profit, revenue, or business; loss of data; indirect or consequential loss; or loss arising from third-party actions (including Instructor content), except where such exclusion is prohibited by mandatory EU consumer protection law.
13.4 Mandatory EU Consumer Rights Preserved
Nothing in this Article limits or excludes any statutory rights you have as a Consumer under mandatory EU law, including under Directive 2011/83/EU or national consumer protection legislation, which cannot be excluded by contract.
Indemnification
You agree to indemnify, defend, and hold harmless Leviq, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to: (a) your violation of these Terms; (b) your Content submitted to the Platform; (c) your infringement of any third-party rights; or (d) your unlawful use of the Platform. This indemnification obligation does not apply to Consumer users in jurisdictions where such clauses are deemed unfair under EU Directive 93/13/EEC on unfair contract terms.
Account Suspension & Termination
15.1 Termination by You
You may close your account at any time by contacting [email protected]. Account closure does not entitle you to a refund of amounts outside the applicable withdrawal period. Upon account closure, your access to enrolled courses ceases.
15.2 Termination by Leviq
We may suspend or terminate your account immediately and without prior notice if we have reasonable grounds to believe you have materially breached these Terms, engaged in fraud or illegal activity, or posed a risk to other users or the Platform's integrity.
15.3 Effect of Termination
Upon termination: (a) all licences granted to you cease; (b) you lose access to enrolled courses; (c) amounts owed to either party remain due; and (d) provisions of these Terms that by their nature should survive termination shall remain in effect.
15.4 Appeals
If you believe your account was suspended or terminated in error, you may appeal within 30 days by writing to [email protected]. We will review and respond within 15 business days.
Dispute Resolution
16.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will use good-faith efforts to resolve any dispute within 30 days.
16.2 EU Online Dispute Resolution
If you are a Consumer resident in the EU and the dispute is not resolved informally, you may use the EU Online Dispute Resolution (ODR) platform, which is accessible at https://ec.europa.eu/consumers/odr, as required by EU Regulation 524/2013.
16.3 Alternative Dispute Resolution
We are committed to participating in ADR (Alternative Dispute Resolution) procedures before accredited ADR entities pursuant to EU Directive 2013/11/EU on consumer ADR.
16.4 Judicial Proceedings
Nothing in this Article prevents either party from seeking urgent injunctive or other equitable relief from a competent court to prevent imminent harm. Consumer users retain the right to bring proceedings before the courts of their country of habitual residence pursuant to EU Regulation 1215/2012 (Brussels I Recast).
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the European Union and the laws of the jurisdiction in which Leviq is incorporated, without regard to conflict of law principles. For Consumer users, mandatory protective provisions of the Consumer's country of habitual residence within the EU/EEA shall also apply pursuant to Rome I Regulation (EC No 593/2008).
For disputes not resolved under Article 16, the parties submit to the exclusive jurisdiction of the courts of the jurisdiction in which Leviq is incorporated, subject always to the Consumer's right under EU Regulation 1215/2012 to bring proceedings in their country of habitual residence.
Amendments to these Terms
We may update these Terms from time to time. Material changes will be communicated by:
- Email notification to your registered address at least 30 days before the changes take effect;
- Prominent notice on the Platform.
Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Platform and may close your account. For Consumers, amended Terms will not apply retrospectively to contracts concluded before the amendment date.
Miscellaneous
19.1 Severability
If any provision of these Terms is found invalid or unenforceable by a competent court, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
19.2 Waiver
Failure or delay in exercising any right under these Terms shall not constitute a waiver of that right.
19.3 Entire Agreement
These Terms, together with the Privacy Policy and any additional policies or agreements expressly incorporated herein, constitute the entire agreement between you and Leviq regarding your use of the Platform and supersede all prior agreements.
19.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without Leviq's prior written consent. Leviq may assign its rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets, provided your rights as a Consumer are not adversely affected.
19.5 Language
These Terms are drafted in English. In the event of any inconsistency between an English version and a translated version, the English version shall prevail, to the extent permitted by applicable consumer protection law.
